General Conditions of Sale (in force from 01/09/2025)

Welcome to the rag-bone.eu website (“Online Store”), operated by GUESS EUROPE SAGL (“GUESS”) as a licensee and distributor of Rag & Bone Industries LLC (‘rag&bone’). We remind you that Guess is the seller for every purchase you make in this Online Store. Please read the following General Conditions of Sale (‘GCS’) carefully before using the Online Store. These GCS govern any use and purchase on the Online Store, all related mobile apps, tools, products and services that the Online Store may offer from time to time.

  1. Preliminary information and contact details
    1. These GCS apply to the use of the Online Store and to all sales contracts concluded between GUESS EUROPE SAGL, a company incorporated and governed by the laws of the Swiss Confederation, with registered office in Strada Regina, 44 – 6934 Bioggio, Switzerland, registered in the commercial register of the Canton Ticino with Business Identification Number (IDI) CHE113.255.366IVA, which manages the Online Store and a consumer whose place of residence is Denmark or who purchases rag&bone products (‘Products’) through the Online Store (hereinafter: ‘Customer).
    2. The Customer must read carefully and know the content of the GCS that must be accepted before placing an order in the Online Store. Each order of products placed in the Online Store will be subject to the provisions of the GCS in the version accepted by the Customer at the time the order is placed. The full acceptance of the GCS is a necessary condition for the use of the Online Store and the purchase of the Products. If the Customer does not intend to accept these GCS, they are invited not to use the Online Store, not to create a personal account, nor to make purchases on it.
    3. By accepting the content of the GCS, the Customer declares to be over 18 years of age or the age of majority according to the applicable law, to be a consumer, i.e. a natural person acting for purposes unrelated to the entrepreneurial, commercial, craft or professional activity carried out. Therefore, all purchases of Products are made solely for personal use and not for resale or other commercial or professional purposes of any kind.
    4. In order to protect the intellectual property and reputation rights of rag&bone, as well as to safeguard its distribution network, GUESS reserves the right to limit the quantity of products that can be purchased through the Online Store. The aforementioned limitation, if applied, will be communicated before the purchase of the products by the Customer.
    5. GUESS expressly reserves the right to amend and/or supplement these GCS to (i) ensure compliance with applicable laws and provisions; and (ii) adapt the GCS to the reasonable business needs of GUESS. It is understood that these GCS and the Online Store may be changed at any time for technical improvements. The general conditions will always be available on the website in order for the user to read or print.

  2. Conclusion of contract

    Once the Customer places an order in the Online Shop, the Customer will send a contractual proposal of purchase to GUESS, which does not constitute the termination of the contract. GUESS will send a confirmation of receipt of the order to the Customer by e-mail. Such e-mail does not constitute an acceptance of the proposal, but only confirmation of receipt of the order, after which GUESS may confirm the availability of the Product(s) and, if applicable, verify the payment method indicated.

    The contract for the sale and purchase of the Product(s) shall be deemed concluded when the Customer receives the e-mail of successful dispatch of the order, provided that the payment is successful, containing these GCS and information about the Product(s) ordered, including the price paid. If, for any reason, payment of the price is not successful, the order will not be processed and will be cancelled, and the contract will not be concluded.

    To make any changes to an order, the Customer must contact Customer Service. GUESS reserves the right to accept, wholly or in part, the changes to the order requested by the Customer, provided that such changes are requested before the ordered products are shipped. Completion of the order form implies the acceptance of the offered price and the general terms and conditions of sale in force at the time. Once the order has been formalised, the purchase is understood to be fully concluded, with all legal guarantees for the protection of the purchasing consumer and, from that moment, the prices and conditions assume a contractual nature and cannot be modified without the express consent of both contracting parties. The language used for the formalisation of the contract shall be English.

  3. Product prices

    1. The prices of our products are expressed in Danish Krone (DKK).
    2. The prices shown in the Online Store include the VAT (Value Added Tax) in force at the time of the order.
    3. The prices shown in the Online Store do not include the shipping costs, which shall be paid by the Customer. Shipping costs will be added to the final total price at the time of placing the relevant Order, according to the applicable shipping rates indicated in the Online Store. Additional shipping costs may apply. Any additional shipping costs, where applicable, will be duly indicated at the checkout stage and reported in the FAQ section
    4. Payment by Customer may be made using any payment option available in the Online Store:
      1. Credit Card
      2. PayPal
      3. Klarna
      4. Apple Pay
      5. Google Pay

      In the event that the Customer makes use of payment services offered by third party operators (for example Klarna or Paypal), the Customer is required to read the terms and conditions governing such services.

    5. Payment by credit card may be subject to the application of fees by the Customer's bank or the company that issued the credit card and the Customer may have more information about these fees by contacting their bank and the company issuing their credit card. GUESS remains totally unrelated to purchase transaction fees, which depend on the specific conditions applied, to its customers and users, by the providers of banking and payment services.
  4. Delivery of products

    1. The delivery of the products purchased by the Customer will be made to the delivery address indicated by the Customer and located in Denmark.
    2. GUESS undertakes to deliver the ordered products within thirty (30) days from the day of receipt of the order acceptance email. If the delivery is delayed for reasons beyond the will and control of GUESS, the Customer will be informed of the new delivery date.
    3. GUESS does not deliver to shipping or transportation centres or companies, warehouses of any kind and post office boxes. The Customer therefore undertakes not to indicate these sites and destinations as places of delivery of the ordered goods, assuming all responsibility in relation to any disruptions and/or delays and/or damages resulting from the non-compliance with this provision. This condition expressly excludes “pickup points” and Lockers where GUESS will deliver regularly.
    4. It is understood that all risks of loss and/or damage, total or partial, of the ordered goods for reasons not attributable to GUESS are transferred to the Customer at the time when they, or a third party designated by them and different from the carrier appointed by GUESS, materially comes into possession of the goods.
  5. Right of withdrawal from a distance contract

    1. The Customer, without having to provide any reason, may withdraw from the distance contract stipulated with GUESS and return the products purchased through the Online Store within 30 calendar days from the day of receipt of the products ordered or, in the case of products subject to the same order that have been received separately, from the day of receipt of the last product. In order to comply with the deadline for exercising the withdrawal, it is sufficient for the Customer to send Guess a relevant explicit written notice of their intention to withdraw from the contract within the 30-day period indicated above.
    2. To exercise the right of withdrawal, Guess recommends activating the electronic procedure available in the MY ACCOUNT or RETURNS sections of the Online Store.

      Should the Costumer prefer not to make use of the aforementioned procedure, the notice of withdrawal from the contract may also be submitted using the following form, which, by way of illustration, outlines the information and data that must be provided to Guess in order to withdraw.

      The completed form must be sent by email to [email protected] or by postal services to the following address GUESS EUROPE SAGL – R&B E-COMMERCE DEPT. - Strada Regina 44, CH6934 Bioggio, Switzerland. Items shall be returned by sending them to GUESS c/o DC10 – ul Rabowicka 51A, 62-020 Jasin, Poland.

    3. GUESS will promptly send the Customer an acknowledgment of receipt of the notice of withdrawal on a durable medium (for example, by email).
    4. In case of withdrawal from the contract, GUESS shall reimburse the Customer for all payments received in connection with the order, including delivery costs, if incurred. Additional costs incurred by the Customer who has expressly chosen a delivery method other than the least expensive type offered by GUESS shall not be reimbursed.
    5. Without prejudice to the paragraph 6 below, the reimbursement to the Customer shall be made by GUESS without delay, and, in any case, no later than 14 days from the day on which GUESS was informed of the Customer’s decision to withdraw. The timeframe for the actual crediting of the amount due to the Customer depends on the Customer’s credit institution or on third-party payment service providers (such as PayPal or Klarna) and is in no way managed or controlled by GUESS. GUESS shall reimburse the payment only to the Costumer who placed the order, using the same payment method chosen by the Customer at the time of the conclusion of the contract, unless the Customer has expressly agreed otherwise. In any case, the Customer shall not bear any costs in obtaining the reimbursement.
    6. GUESS reserves the right to withhold the amount to be reimbursed until it receives the goods at the address indicated in paragraph 7 below, or until the Customer provides proof of shipment of the goods, whichever occurs first.
    7. The products to be returned must be shipped to the following address GUESS DC10 – ul. Rabowicka 51A, 62-020 Jasin, Poland in a single shipment and within fourteen [14] calendar days from the day on which the Customer notified GUESS of their intention to withdraw from the contract. The products may be shipped using the return label automatically generated after completing the return registration procedure as described on the Online Store(or the return label otherwise provided by GUESS to the Customer together with the ordered products). The Customer may choose any method for returning the products and shall bear the related shipping costs. Customers who make use of GUESS’s return procedure are entitled to one (1) free return shipment per month. GUESS strongly recommends including the order number and order date in the return package, to allow GUESS to identify the shipment and proceed with the return process. The right of withdrawal does not apply to sealed products that are not suitable for return due to health protection or hygiene reasons and that have been opened after delivery: in such case, GUESS reserves the right to refuse the return, with the consequences set out in paragraph 9 below.
    8. The Customer shall be liable for any reduction in the value of the product resulting from use beyond what is necessary to establish the nature, characteristics, and functioning of the product. This means that, following the Customer’s withdrawal from the contract, GUESS may seek compensation from the Customer for any damage caused by the return of products that are not intact or have been altered (e.g., damaged, washed, incomplete). All returned items must be unused and in their original condition, with all tags and labels intact.
    9. Should GUESS refuse the return due to the ineligibility of the request (for example, if the time limit for the Customer to make the return has expired) or of the Product (for example, in the case of products that cannot be returned pursuant to paragraph 7 above), GUESS shall return the products to the Customer — unless the Customer explicitly communicates otherwise — at the Customer’s expense, and no reimbursement shall be issued.
  6. Legal Warranty of Conformity

    1. In the event of delivery of defective products by GUESS, according to the legal warranty, the Customer shall be entitled to the following remedies:
      1. price reduction;
      2. reimbursement of the price (termination of the contract);
      3. replacement of the defective products;
      4. repair of the products.
    2. The warranty is valid for 3 (three) years starting from the date the products are delivered to the Customer. The action aimed at asserting defects not fraudulently concealed by GUESS must, in any case, be brought within thirty-eight months from the date of delivery of the Product. The Customer must report the defect to Guess within 2 months from the date the defect is discovered.
    3. Unless proven otherwise, any lack of conformity that arises within one year from the delivery of the Product is presumed to have already existed at the time of delivery, unless this assumption is incompatible with the nature of the Product or the nature of the lack of conformity. After one year from the delivery of the Product, it will be the Customer’s responsibility to prove that the lack of conformity already existed at the time of delivery.
    4. In order to benefit from the legal warranty, the Customer must provide proof of the purchase and date of delivery of the goods. Therefore, for this purpose, it is advisable that the Customer retains the purchase invoice, as well as the transport document or any other document that can certify the purchase and the date of delivery.
    5. Notwithstanding the above, any faults or malfunctions caused by external and accidental events or by the Customer’s responsibility or by use of the Product that does not comply with its intended use and/or with the provisions of the documentation accompanying the Product are excluded from the scope of the legal warranty.
    6. In the event of a lack of conformity covered by the legal warranty, the Customer is entitled to:
      1. (i) primarily, have the product repaired or replaced free of charge, at their choice, unless the requested remedy is objectively impossible or excessively onerous compared to the alternative;
      2. (ii) secondarily, a proportional price reduction or termination of the contract (with reimbursement by GUESS of the amount paid by the Customer for the purchase of the Product), at their choice, in the event that:
        • • GUESS has not carried out the repair or replacement, or has refused to do so because it is impossible or excessively onerous;
        • • a lack of conformity appears despite GUESS’s attempt to restore the conformity of the product;
        • • the lack of conformity is so serious as to justify the immediate price reduction or the termination of the sales contract; or
        • • GUESS has declared, or it is clear from the circumstances, that it will not restore the conformity of the product within a reasonable period of time or without significant inconvenience to the Customer.
    7. 7. Without prejudice to the other remedies, GUESS may oppose the termination of the contract if it proves that the lack of conformity is only minor.
    8. 8. In the event that the Customer, according to the legal warranty, requests a refund or a price reduction, the following provisions shall apply: upon receipt of the Products by Guess at the following address: GUESS DC10 – ul. Rabowicka 51A, 62-020 Jasin, Poland, and after GUESS has verified the existence of any defects, GUESS will send an email to the Customer confirming the receipt of the defective products, will give instructions for the refund to the bank or third-party payment service provider (such as PayPal or Klarna) requesting the refund of the price (total or partial) and of all shipping costs (including shipping costs for the return of the product) within no more than 14 days after the receipt of the refund. The actual time required for the amount to be credited to the Customer depends on the Customer’s bank or third-party payment service providers (such as PayPal or Klarna) and is beyond GUESS’s control.
  7. Complaints

    1. In order to file a complaint (for a defective product or for any other case), the Customer may:
      1. File a complaint online. To activate this option, the Customer must contact Customer Service at https://www.rag-bone.eu/-/need-help. Customer Service may request a photo of the products and the alleged defect. Customer Service reserves the right to make available to the Customer a courier label that will allow products to be sent to GUESS by courier at the expense of the latter. GUESS recommends the use of the online complaint form, which ensures immediate feedback for the Customer.
      2. As an alternative to the process illustrated in the preceding paragraph, the Customer may use the following form:

    2. GUESS will respond to the Customer's complaint immediately, no later than 14 calendar days from its receipt. Failure to respond by GUESS within the aforementioned period implies the automatic acceptance of the Customer's complaint. GUESS will inform the Customer without delay of any unsuitability of the complaint and/or of any need to supplement it with missing information and data.
    3. In any case, the possibility remains for the Customer to activate extrajudicial methods of handling complaints according to the online dispute resolution procedure prepared by the European Commission. The relevant platform is available at the following link: https://ec.europa.eu/consumers/odr.
  8. License

    1. With these GCS, GUESS grants the Customer a non-exclusive, non-transferable, non-sublicensable, and limited right to use the Online Store in accordance with the methods expressly permitted by the Online Store and governed by these GCS. The Customer must comply with any limitations present on the Online Store without altering in any way the Online Store. In particular, except as provided by mandatory legal provisions, the Customer will refrain from the following activities by way of example: bypassing technical limitations of the Online Store; decoding, decompiling, or disassembling the Online Store; etc.
    2. It is expressly understood that GUESS reserves all rights not specifically licensed in accordance with these GCS.
    3. Except as expressly permitted by these GCS, the Customer may not: (i) use the Online Store to provide any commercial service; (ii) use the Online Store to develop a product that competes with the Online Store or with GUESS; (iii) use automated access tools such as spiders or robots, or engage in scraping activities in relation to the Online Store, or collect information and data from the Online Store; (iv) allow third parties to access or use the Online Store unless otherwise provided by these GCS; (v) distribute or publish their Online Store login credentials; or (vi) use unauthorized or third-party login credentials.
  9. Website content and use - Intellectual Property

    1. The Online Store and its contents are property of GUESS and its licensors.
    2. The Online Store and its contents are protected by the national and international laws regarding copyright, registered trademarks, designs and models, software protection, databases, domain names, or any other intellectual and industrial property rights legislation.
    3. The Customer may not reproduce, except for purposes related to personal use and within the limits established by applicable laws, publish, communicate to the public by any means of communication, transmit, perform, display, distribute, remove, delete, add to, or otherwise modify the Online Store or its content, nor create works inspired by or derived from them, commercialize the Online Store and/or its content, or actively participate in their commercialization, unless expressly and in advance authorized by GUESS.
    4. It is expressively prohibited to damage, interfere with or disrupt access to the Online Store and its content, or to perform actions that may alter its functionality or interfere with other users’ access of to the Online Store or its content, nor utilize the Online Store or its content in illegal manners or in a way harmful to GUESS and to any third party, including any other user of the Online Store.
    5. The web pages that make up the Online Store may allow access, via dedicated hyperlinks (namely, links) to third-party website or resources available on the Internet. GUESS shall not be held liable for the actual accessibility of third-party websites linked through such hyperlinks, nor for any damages that may arise to the Customer and/or users in connection with the contents, materials or Products offered or obtained by the Customer through the said websites.
  10. Exclusion of warranty and limitation of liability

    1. Through the utilization of the Online Shop, the Customer acknowledges and agrees that the Online Shop is furnished “as it is” and “as available” at the time of fruition.
    2. GUESS, to the fullest extent permitted by applicable law and without prejudice to the provisions of this section, does not provide any warranty, express and/or implied, in relation to the Online Shop, such as, by way of example only, any warranty of harmlessness from harmful software (i.e. malware and/or viruses of any kind and by way of example only file viruses, boot viruses, macro viruses and network viruses) or any warranty of merchantability or fitness for particular purposes.
    3. GUESS cannot be held liable in any way for any damage deriving from the use of the Online Shop and from the purchase and/or use of the Products, unless otherwise provided for by applicable law.
    4. Any content downloaded, created or otherwise acquired from or through the Online Shop is obtained at the sole and exclusive discretion and risk of the Customer. The Customer is therefore solely and exclusively liable for any damage to your devices or loss of data resulting from the use of the Online Shop. To the fullest extent permitted by applicable law, by using the Online Shop, the Customer undertakes to bear all the risks connected to such use and to assume full responsibility for any loss of use, loss of data and costs connected to any servicing and/or repair of the hardware and/or software used in connection to the Online Shop, also undertaking not to hold GUESS liable in any way for any damage arising from or caused by the use of this Online Shop or related to it.
    5. Notwithstanding any other provision in this GCS, the warranties and liability of GUESS are not excluded or limited: (i) in case of death or damage to the Customer resulting from the act or omission of GUESS; (ii) in case of negligence or wilful misconduct of GUESS; (iii) for any other liability or warranty that cannot be limited or excluded by law.
  11. Indemnity

    To the fullest extent permitted by applicable law, the customer undertakes to indemnify and hold GUESS, its affiliates, administrators, directors, officers and assigns harmless from any and all liability resulting from pecuniary or non-pecuniary loss suffered by any third party in any way (i) arising from the negligent use of the Online Shop and the Products, or otherwise in breach of any article of these GCS, or (ii) arising from the breach of any applicable law or any third party right.

  12. Final dispositions

    1. In the event that any provision of these GCS is found to be invalid or ineffective, this shall not render these GCS invalid in its entirety. Any invalid provisions shall be replaced by other valid provisions, taking into account the will of the parties and the meaning and content permitted by applicable law.
    2. These GCS comprise the entire agreement between the Customer and GUESS and supersede any previous or contemporaneous conditions, agreements or statements, whether oral or written, relating to the subject matter of these GCS.
    3. Neither the Customer nor GUESS shall be deemed to be in fault under these GCS due to any delay or failure to perform its obligations resulting from any event beyond the reasonable control of the Customer or GUESS (so-called ‘Force Majeure’), provided that the party concerned notifies the other party in a reasonably timely manner of the Force Majeure condition and makes reasonable efforts to mitigate the delay or failure.
    4. Guess takes into particular consideration and pays maximum attention to the protection of the Customer’s personal data. GUESS processes the Customer’s personal data in compliance with the provisions of the applicable law and in accordance with its privacy policy accessible at the link ‘Privacy’ that can be found in the Online Shop and that forms an integral and substantial part of these GCS.
    5. These GCS are subject to Danish law. Any disputes arising therefrom shall be subject to the jurisdiction of the competent court based on the place of residence of the Customer.
