Conclusion of contract

Once the Customer places an order in the Online Shop, the Customer will send a contractual proposal of purchase to GUESS, which does not constitute the termination of the contract. GUESS will send a confirmation of receipt of the order to the Customer by e-mail. Such e-mail does not constitute an acceptance of the proposal, but only confirmation of receipt of the order, after which GUESS may confirm the availability of the Product(s) and, if applicable, verify the payment method indicated.

The contract for the sale and purchase of the Product(s) shall be deemed concluded when the Customer receives the e-mail of successful dispatch of the order, provided that the payment is successful, containing these GCS and information about the Product(s) ordered, including the price paid. If, for any reason, payment of the price is not successful, the order will not be processed and will be cancelled, and the contract will not be concluded.

To make any changes to an order, the Customer must contact Customer Service. GUESS reserves the right to accept, wholly or in part, the changes to the order requested by the Customer, provided that such changes are requested before the ordered products are shipped. Completion of the order form implies the acceptance of the offered price and the general terms and conditions of sale in force at the time. Once the order has been formalised, the purchase is understood to be fully concluded, with all legal guarantees for the protection of the purchasing consumer and, from that moment, the prices and conditions assume a contractual nature and cannot be modified without the express consent of both contracting parties. The language used for the formalisation of the contract shall be English.

Product prices

1. The prices of our products are expressed in Romanian lei (RON).
2. The prices shown in the Online Store include the VAT (Value Added Tax) in force at the time of the order.
3. The prices shown in the Online Store do not include the shipping costs, which shall be paid by the Customer. Shipping costs will be added to the final total price at the time of placing the relevant Order, according to the applicable shipping rates indicated in the Online Store. Additional shipping costs may apply. Any additional shipping costs, where applicable, will be duly indicated at the checkout stage and reported in the FAQ section
4. Payment by Customer may be made using any payment option available in the Online Store:
   1. Credit Card
   2. PayPal
   3. Klarna
   4. Apple Pay
   5. Google Pay

   In the event that the Customer makes use of payment services offered by third party operators (for example Klarna or Paypal), the Customer is required to read the terms and conditions governing such services.

5. Payment by credit card may be subject to the application of fees by the Customer's bank or the company that issued the credit card and the Customer may have more information about these fees by contacting their bank and the company issuing their credit card. GUESS remains totally unrelated to purchase transaction fees, which depend on the specific conditions applied, to its customers and users, by the providers of banking and payment services.

Right of withdrawal from a distance contract

1. The Customer, without having to provide any reason, may withdraw from the distance contract stipulated with GUESS and return the products purchased through the Online Store within 30 calendar days from the day of receipt of the products ordered or, in the case of products subject to the same order that have been received separately, from the day of receipt of the last product. In order to comply with the deadline for exercising the withdrawal, it is sufficient for the Customer to send Guess a relevant explicit written notice of their intention to withdraw from the contract within the 30-day period indicated above.
2. To exercise the right of withdrawal, Guess recommends activating the electronic procedure available in the MY ACCOUNT or RETURNS sections of the Online Store.

   Should the Costumer prefer not to make use of the aforementioned procedure, the notice of withdrawal from the contract may also be submitted using the following form, which, by way of illustration, outlines the information and data that must be provided to Guess in order to withdraw.

3. GUESS will promptly send the Customer an acknowledgment of receipt of the notice of withdrawal on a durable medium (for example, by email).
4. In case of withdrawal from the contract, GUESS shall reimburse the Customer for all payments received in connection with the order, including delivery costs, if incurred. Additional costs incurred by the Customer who has expressly chosen a delivery method other than the least expensive type offered by GUESS shall not be reimbursed.
5. Without prejudice to the paragraph 6 below, the reimbursement to the Customer shall be made by GUESS without delay, and, in any case, no later than 14 days from the day on which GUESS was informed of the Customer’s decision to withdraw. The timeframe for the actual crediting of the amount due to the Customer depends on the Customer’s credit institution or on third-party payment service providers (such as PayPal or Klarna) and is in no way managed or controlled by GUESS. GUESS shall reimburse the payment only to the Costumer who placed the order, using the same payment method chosen by the Customer at the time of the conclusion of the contract, unless the Customer has expressly agreed otherwise. In any case, the Customer shall not bear any costs in obtaining the reimbursement.
6. GUESS reserves the right to withhold the amount to be reimbursed until it receives the goods at the address indicated in paragraph 7 below, or until the Customer provides proof of shipment of the goods, whichever occurs first.
7. The products to be returned must be shipped to the following address GUESS DC10 – ul. Rabowicka 51A, 62-020 Jasin, Poland in a single shipment and within fourteen [14] calendar days from the day on which the Customer notified GUESS of their intention to withdraw from the contract. The products may be shipped using the return label automatically generated after completing the return registration procedure as described on the Online Store(or the return label otherwise provided by GUESS to the Customer together with the ordered products). The Customer may choose any method for returning the products and shall bear the related shipping costs. Customers who make use of GUESS’s return procedure are entitled to one (1) free return shipment per month. GUESS strongly recommends including the order number and order date in the return package, to allow GUESS to identify the shipment and proceed with the return process. The right of withdrawal does not apply to sealed products that are not suitable for return due to health protection or hygiene reasons and that have been opened after delivery: in such case, GUESS reserves the right to refuse the return, with the consequences set out in paragraph 9 below.
8. The Customer shall be liable for any reduction in the value of the product resulting from use beyond what is necessary to establish the nature, characteristics, and functioning of the product. This means that, following the Customer’s withdrawal from the contract, GUESS may seek compensation from the Customer for any damage caused by the return of products that are not intact or have been altered (e.g., damaged, washed, incomplete). All returned items must be unused and in their original condition, with all tags and labels intact.
9. Should GUESS refuse the return due to the ineligibility of the request (for example, if the time limit for the Customer to make the return has expired) or of the Product (for example, in the case of products that cannot be returned pursuant to paragraph 7 above), GUESS shall return the products to the Customer — unless the Customer explicitly communicates otherwise — at the Customer’s expense, and no reimbursement shall be issued.

Legal Warranty of Conformity

1. In the event of delivery of defective products by GUESS, according to the legal warranty, the Customer shall be entitled to the following remedies:
   1. price reduction;
   2. reimbursement of the price (termination of the contract);
   3. replacement of the defective products;
   4. repair of the products.
2. The warranty is valid for 3 (three) years starting from the date the products are delivered to the Customer. The action aimed at asserting defects not fraudulently concealed by GUESS must, in any case, be brought within thirty-eight months from the date of delivery of the Product. The Customer must report the defect to Guess within 2 months from the date the defect is discovered.
3. Unless proven otherwise, any lack of conformity that arises within one year from the delivery of the Product is presumed to have already existed at the time of delivery, unless this assumption is incompatible with the nature of the Product or the nature of the lack of conformity. After one year from the delivery of the Product, it will be the Customer’s responsibility to prove that the lack of conformity already existed at the time of delivery.
4. In order to benefit from the legal warranty, the Customer must provide proof of the purchase and date of delivery of the goods. Therefore, for this purpose, it is advisable that the Customer retains the purchase invoice, as well as the transport document or any other document that can certify the purchase and the date of delivery.
5. Notwithstanding the above, any faults or malfunctions caused by external and accidental events or by the Customer’s responsibility or by use of the Product that does not comply with its intended use and/or with the provisions of the documentation accompanying the Product are excluded from the scope of the legal warranty.
6. In the event of a lack of conformity covered by the legal warranty, the Customer is entitled to:
   1. (i) primarily, have the product repaired or replaced free of charge, at their choice, unless the requested remedy is objectively impossible or excessively onerous compared to the alternative;
   2. (ii) secondarily, a proportional price reduction or termination of the contract (with reimbursement by GUESS of the amount paid by the Customer for the purchase of the Product), at their choice, in the event that:
      • • GUESS has not carried out the repair or replacement, or has refused to do so because it is impossible or excessively onerous;
      • • a lack of conformity appears despite GUESS’s attempt to restore the conformity of the product;
      • • the lack of conformity is so serious as to justify the immediate price reduction or the termination of the sales contract; or
      • • GUESS has declared, or it is clear from the circumstances, that it will not restore the conformity of the product within a reasonable period of time or without significant inconvenience to the Customer.
7. Without prejudice to the other remedies, GUESS may oppose the termination of the contract if it proves that the lack of conformity is only minor.
8. In the event that the Customer, according to the legal warranty, requests a refund or a price reduction, the following provisions shall apply: upon receipt of the Products by Guess at the following address: GUESS DC10 – ul. Rabowicka 51A, 62-020 Jasin, Poland, and after GUESS has verified the existence of any defects, GUESS will send an email to the Customer confirming the receipt of the defective products, will give instructions for the refund to the bank or third-party payment service provider (such as PayPal or Klarna) requesting the refund of the price (total or partial) and of all shipping costs (including shipping costs for the return of the product) within no more than 14 days after the receipt of the refund. The actual time required for the amount to be credited to the Customer depends on the Customer’s bank or third-party payment service providers (such as PayPal or Klarna) and is beyond GUESS’s control.

Complaints

1. In order to file a complaint (for a defective product or for any other case), the Customer may:
   1. File a complaint online. To activate this option, the Customer must contact Customer Service at https://www.rag-bone.eu/-/need-help. Customer Service may request a photo of the products and the alleged defect. Customer Service reserves the right to make available to the Customer a courier label that will allow products to be sent to GUESS by courier at the expense of the latter. GUESS recommends the use of the online complaint form, which ensures immediate feedback for the Customer.
   2. As an alternative to the process illustrated in the preceding paragraph, the Customer may use the following form:

2. GUESS will respond to the Customer's complaint immediately, no later than 14 calendar days from its receipt. Failure to respond by GUESS within the aforementioned period implies the automatic acceptance of the Customer's complaint. GUESS will inform the Customer without delay of any unsuitability of the complaint and/or of any need to supplement it with missing information and data.
3. In any case, the possibility remains for the Customer to activate extrajudicial methods of handling complaints according to the online dispute resolution procedure prepared by the European Commission. The relevant platform is available at the following link: https://ec.europa.eu/consumers/odr.

License

1. With these GCS, GUESS grants the Customer a non-exclusive, non-transferable, non-sublicensable, and limited right to use the Online Store in accordance with the methods expressly permitted by the Online Store and governed by these GCS. The Customer must comply with any limitations present on the Online Store without altering in any way the Online Store. In particular, except as provided by mandatory legal provisions, the Customer will refrain from the following activities by way of example: bypassing technical limitations of the Online Store; decoding, decompiling, or disassembling the Online Store; etc.
2. It is expressly understood that GUESS reserves all rights not specifically licensed in accordance with these GCS.
3. Except as expressly permitted by these GCS, the Customer may not: (i) use the Online Store to provide any commercial service; (ii) use the Online Store to develop a product that competes with the Online Store or with GUESS; (iii) use automated access tools such as spiders or robots, or engage in scraping activities in relation to the Online Store, or collect information and data from the Online Store; (iv) allow third parties to access or use the Online Store unless otherwise provided by these GCS; (v) distribute or publish their Online Store login credentials; or (vi) use unauthorized or third-party login credentials.

Website content and use - Intellectual Property

1. The Online Store and its contents are property of GUESS and its licensors.
2. The Online Store and its contents are protected by the national and international laws regarding copyright, registered trademarks, designs and models, software protection, databases, domain names, or any other intellectual and industrial property rights legislation.
3. The Customer may not reproduce, except for purposes related to personal use and within the limits established by applicable laws, publish, communicate to the public by any means of communication, transmit, perform, display, distribute, remove, delete, add to, or otherwise modify the Online Store or its content, nor create works inspired by or derived from them, commercialize the Online Store and/or its content, or actively participate in their commercialization, unless expressly and in advance authorized by GUESS.
4. It is expressively prohibited to damage, interfere with or disrupt access to the Online Store and its content, or to perform actions that may alter its functionality or interfere with other users’ access of to the Online Store or its content, nor utilize the Online Store or its content in illegal manners or in a way harmful to GUESS and to any third party, including any other user of the Online Store.
5. The web pages that make up the Online Store may allow access, via dedicated hyperlinks (namely, links) to third-party website or resources available on the Internet. GUESS shall not be held liable for the actual accessibility of third-party websites linked through such hyperlinks, nor for any damages that may arise to the Customer and/or users in connection with the contents, materials or Products offered or obtained by the Customer through the said websites.

Exclusion of warranty and limitation of liability

1. Through the utilization of the Online Shop, the Customer acknowledges and agrees that the Online Shop is furnished “as it is” and “as available” at the time of fruition.
2. GUESS, to the fullest extent permitted by applicable law and without prejudice to the provisions of this section, does not provide any warranty, express and/or implied, in relation to the Online Shop, such as, by way of example only, any warranty of harmlessness from harmful software (i.e. malware and/or viruses of any kind and by way of example only file viruses, boot viruses, macro viruses and network viruses) or any warranty of merchantability or fitness for particular purposes.
3. GUESS cannot be held liable in any way for any damage deriving from the use of the Online Shop and from the purchase and/or use of the Products, unless otherwise provided for by applicable law.
4. Any content downloaded, created or otherwise acquired from or through the Online Shop is obtained at the sole and exclusive discretion and risk of the Customer. The Customer is therefore solely and exclusively liable for any damage to your devices or loss of data resulting from the use of the Online Shop. To the fullest extent permitted by applicable law, by using the Online Shop, the Customer undertakes to bear all the risks connected to such use and to assume full responsibility for any loss of use, loss of data and costs connected to any servicing and/or repair of the hardware and/or software used in connection to the Online Shop, also undertaking not to hold GUESS liable in any way for any damage arising from or caused by the use of this Online Shop or related to it.
5. Notwithstanding any other provision in this GCS, the warranties and liability of GUESS are not excluded or limited: (i) in case of death or damage to the Customer resulting from the act or omission of GUESS; (ii) in case of negligence or wilful misconduct of GUESS; (iii) for any other liability or warranty that cannot be limited or excluded by law.

Indemnity

To the fullest extent permitted by applicable law, the customer undertakes to indemnify and hold GUESS, its affiliates, administrators, directors, officers and assigns harmless from any and all liability resulting from pecuniary or non-pecuniary loss suffered by any third party in any way (i) arising from the negligent use of the Online Shop and the Products, or otherwise in breach of any article of these GCS, or (ii) arising from the breach of any applicable law or any third party right.

Final dispositions

1. In the event that any provision of these GCS is found to be invalid or ineffective, this shall not render these GCS invalid in its entirety. Any invalid provisions shall be replaced by other valid provisions, taking into account the will of the parties and the meaning and content permitted by applicable law.
2. These GCS comprise the entire agreement between the Customer and GUESS and supersede any previous or contemporaneous conditions, agreements or statements, whether oral or written, relating to the subject matter of these GCS.
3. Neither the Customer nor GUESS shall be deemed to be in fault under these GCS due to any delay or failure to perform its obligations resulting from any event beyond the reasonable control of the Customer or GUESS (so-called ‘Force Majeure’), provided that the party concerned notifies the other party in a reasonably timely manner of the Force Majeure condition and makes reasonable efforts to mitigate the delay or failure.
4. Guess takes into particular consideration and pays maximum attention to the protection of the Customer’s personal data. GUESS processes the Customer’s personal data in compliance with the provisions of the applicable law and in accordance with its privacy policy accessible at the link ‘Privacy’ that can be found in the Online Shop and that forms an integral and substantial part of these GCS.
5. These GCS are subject to Romanian law. Any disputes arising therefrom shall be subject to the jurisdiction of the competent court based on the place of residence of the Customer.

Încheierea contractului

Odată ce Clientul plasează o comandă în Magazinul Online, va trimite GUESS o propunere contractuală de cumpărare, care nu constituie încheierea contractului. GUESS va trimite Clientului o confirmare a primirii comenzii prin e-mail. Acest e-mail nu constituie acceptarea propunerii, ci doar confirmarea primirii comenzii, după care GUESS poate confirma disponibilitatea Produselor și, dacă este cazul, poate verifica metoda de plată indicată.

Contractul de vânzare și cumpărare a Produselor se consideră încheiat atunci când Clientul primește e-mailul cu trimiterea cu succes a comenzii, cu condiția ca plata să fie efectuată cu succes, care conține aceste CGV și informații despre Produsele comandate, inclusiv prețul plătit. Dacă, din orice motiv, plata prețului nu este reușită, comanda nu va fi procesată și va fi anulată, iar contractul nu va fi încheiat.

Pentru a face modificări la o comandă, Clientul trebuie să contacteze Serviciul Clienți. GUESS își rezervă dreptul de a accepta, total sau parțial, modificările cerute de Client, cu condiția ca aceste modificări să fie cerute înainte de expedierea Produselor comandate. Completarea formularului de comandă implică acceptarea prețului oferit și a condițiilor generale de vânzare în vigoare la momentul respectiv. Odată ce comanda este formalizată, achiziția se consideră complet finalizată, cu toate garanțiile legale pentru protecția consumatorului cumpărător și, de la acel moment, prețurile și condițiile capătă caracter contractual și nu pot fi modificate fără acordul expres al ambelor părți contractante. Limbajul utilizat pentru formalizarea contractului va fi limba engleză.

PrețuriLE produselor

1. Prețurile produselor sunt exprimate în lei românești (RON).
2. Prețurile afișate în Magazinul Online includ TVA (Taxa pe Valoarea Adăugată) în vigoare la data comenzii.
3. Prețurile afișate în Magazinul Online nu includ costurile de transport, care vor fi plătite de Client. Costurile de transport vor fi adăugate la prețul total final la momentul plasării comenzii corespunzătoare, conform tarifelor de transport aplicabile indicate în Magazinul Online. Pot exista costuri suplimentare de transport. Orice costuri suplimentare de transport, dacă sunt aplicabile, vor fi indicate corespunzător în etapa de plată și raportate în secțiunea Întrebări Frecvente (FAQ).
4. Plata de către Client poate fi efectuată utilizând orice opțiune de plată disponibilă în Magazinul Online:
   1. Card de credit
   2. PayPal
   3. Klarna
   4. Apple Pay
   5. Google Pay

   În cazul în care Clientul utilizează servicii de plată oferite de operatori terți (de exemplu Klarna sau Paypal), Clientul este obligat să citească termenii și condițiile care reglementează astfel de servicii.

5. Plata cu cardul de credit poate fi supusă aplicării unor taxe de către banca Clientului sau de compania care a emis cardul de credit și Clientul poate obține mai multe informații despre aceste taxe contactându-și banca și compania emitentă a cardului de credit. GUESS rămâne total neimplicată în taxele de tranzacție pentru achiziție, care depind de condițiile specifice aplicate de furnizorii de servicii bancare și de plată clienților și utilizatorilor lor.

Dreptul de retragere din contractul încheiat la distanță

1. Clientul, fără a trebui să ofere vreun motiv, poate renunța la contractul încheiat la distanță cu GUESS și poate returna produsele achiziționate prin Magazinul Online în termen de 30 de zile calendaristice de la data primirii produselor comandate sau, în cazul produselor supuse aceleiași comenzi care au fost primite separat, de la data primirii ultimului produs. Pentru a respecta termenul pentru exercitarea dreptului de retragere, este suficient ca Clientul să trimită GUESS o notificare scrisă explicită privind intenția sa de a renunța la contract în termenul de 30 de zile menționat mai sus.
2. Pentru a exercita dreptul de retragere, GUESS recomandă activarea procedurii electronice disponibile în secțiunile CONTUL MEU sau RETURURI ale Magazinului Online.

   Dacă Clientul preferă să nu utilizeze procedura menționată mai sus, notificarea de retragere din contract poate fi, de asemenea, trimisă utilizând următorul formular, care, în calitate de exemplu, descrie informațiile și datele care trebuie furnizate GUESS pentru a renunța.

3. GUESS va trimite imediat Clientului o confirmare a primirii notificării de retragere pe un suport durabil (de exemplu, prin e-mail).
4. În cazul retragerii din contract, GUESS îi va rambursa Clientului toate plățile primite în legătură cu comanda, inclusiv costurile de livrare, dacă au fost suportate. Costurile suplimentare suportate de Client care a ales în mod expres o metodă de livrare diferită de cel mai ieftin tip oferit de GUESS nu vor fi rambursate.
5. Fără a aduce atingere paragrafului 6 de mai jos, rambursarea către Client va fi efectuată de GUESS fără întârziere și, în orice caz, nu mai târziu de 14 zile de la data la care GUESS a fost informată cu privire la decizia Clientului de a renunța. Termenul necesar pentru acreditivele efective ale sumei datorate Clientului depinde de instituția de credit a Clientului sau de furnizorii de servicii de plată terți (cum ar fi PayPal sau Klarna) și nu este gestionat sau controlat în niciun fel de GUESS. GUESS va rambursa plata doar Clientului care a plasat comanda, utilizând aceeași metodă de plată aleasă de Client la încheierea contractului, cu excepția cazului în care Clientul a convenit expres altfel. În orice caz, Clientul nu va suporta niciun cost pentru obținerea rambursării.
6. GUESS își rezervă dreptul de a reține suma de rambursat până la primirea mărfurilor la adresa indicată în paragraful 7 de mai jos sau până când Clientul furnizează dovada expedierii mărfurilor, în funcție de care dintre acestea se produce mai întâi.
7. Produsele care trebuie returnate trebuie expediate la următoarea adresă GUESS DC10 – ul. Rabowicka 51A, 62-020 Jasin, Polonia într-o singură expediere și în termen de paisprezece (14) zile calendaristice de la data la care Clientul a notificat GUESS cu privire la intenția sa de a renunța la contract. Produsele pot fi expediate utilizând eticheta de returnare generată automat după finalizarea procedurii de înregistrare a returnării, așa cum este descris în Magazinul Online (sau eticheta de returnare furnizată în alt mod de GUESS Clientului împreună cu produsele comandate). Clientul poate alege orice metodă pentru returnarea produselor și va suporta costurile de transport asociate. Clienții care utilizează procedura de returnare a GUESS au dreptul la o (1) expediere de returnare gratuită pe lună. GUESS recomandă în mod deosebit ca Clientul să includă numărul comenzii și data comenzii în pachetul de returnare, pentru a permite GUESS să identifice expedierea și să continue procesul de returnare. Dreptul de retragere nu se aplică produselor sigilate care nu sunt potrivite pentru returnare din motive de protecție a sănătății sau igienă și care au fost deschise după livrare: în acest caz, GUESS își rezervă dreptul de a refuza returnarea, cu consecințele prevăzute în paragraful 9 de mai jos.
8. Clientul va fi responsabil pentru orice scădere a valorii produsului rezultată din utilizarea care depășește ceea ce este necesar pentru a stabili natura, caracteristicile și funcționarea produsului. Aceasta înseamnă că, după retragerea Clientului din contract, GUESS poate solicita compensația de la Client pentru orice daună cauzată de returnarea produselor care nu sunt intacte sau au fost modificate (de exemplu, deteriorate, spălate, incomplete). Toate articolele returnate trebuie să fie nefolosite și în starea lor originală, cu toate etichetele și etichetele intacte.
9. În cazul în care GUESS refuză returnarea din cauza neeligibilității cererii (de exemplu, dacă termenul pentru returnarea mărfurilor de către Client a expirat) sau a Produsului (de exemplu, în cazul produselor care nu pot fi returnate conform paragrafului 7 de mai sus), GUESS va returna produsele Clientului — cu excepția cazului în care Clientul comunică în mod expres altfel — pe cheltuiala Clientului, iar nicio rambursare nu va fi efectuată.

Garanția legală de conformitate

1. În cazul livrării produselor defecte de către GUESS, conform garanției legale, Clientul are dreptul la următoarele remedii:
   1. reducere de preț;
   2. rambursarea prețului (rezilierea contractului);
   3. înlocuirea produselor defecte;
   4. repararea produselor.
2. Garanția este valabilă timp de 3 (trei) ani începând de la data livrării produselor Clientului. Acțiunea vizând invocarea defectelor care nu au fost ascunse în mod fraudulos de GUESS trebuie, în orice caz, să fie exercitată în termen de treizeci și opt de luni de la data livrării Produsului. Clientul trebuie să raporteze defectul GUESS în termen de 2 luni de la data descoperirii acestuia.
3. Cu excepția cazului în care se dovedește contrariul, orice lipsă de conformitate care apare într-un an de la livrarea Produsului se consideră că a existat deja la momentul livrării, cu excepția cazului în care această presupunere este incompatibilă cu natura Produsului sau cu natura lipsei de conformitate. După un an de la livrarea Produsului, va fi responsabilitatea Clientului de a demonstra că lipsa de conformitate exista deja la momentul livrării.
4. Pentru a beneficia de garanția legală, Clientul trebuie să furnizeze dovezi ale achiziției și datei livrării mărfurilor. Prin urmare, în acest scop, este recomandat ca Clientul să păstreze factura de achiziție, precum și documentul de transport sau orice alt document care poate certifica achiziția și data livrării.
5. Indiferent de cele de mai sus, orice defecțiuni sau defecte cauzate de evenimente externe și accidentale sau de responsabilitatea Clientului sau de utilizarea Produsului care nu este conformă cu utilizarea sa prevăzută și/sau cu prevederile documentației care însoțește Produsul sunt excluse din sfera de aplicare a garanției legale.
6. În cazul unei lipsă de conformitate acoperite de garanția legală, Clientul are dreptul la:
   1. (i) în primul rând, reparația sau înlocuirea gratuită a produsului, la alegerea sa, cu excepția cazului în care remedierea solicitată este obiectiv imposibilă sau excesiv de oneroasă în comparație cu alternativa;
   2. (ii) în al doilea rând, o reducere proporțională a prețului sau rezilierea contractului (cu rambursarea de către GUESS a sumei plătite de Client pentru achiziționarea Produsului), la alegerea sa, în cazul în care:
      • • GUESS nu a efectuat reparația sau înlocuirea, sau a refuzat să o facă deoarece este imposibilă sau excesiv de oneroasă;
      • • lipsa de conformitate apare în ciuda încercării GUESS de a restabili conformitatea produsului;
      • • lipsa de conformitate este atât de gravă încât justifică reducerea imediată a prețului sau rezilierea contractului de vânzare; sau
      • • GUESS a declarat, sau este evident din circumstanțe, că nu va restabili conformitatea produsului într-un termen rezonabil sau fără inconveniente semnificative pentru Client.
7. Fără a aduce atingere celorlalte remedii, GUESS poate se opune rezilierii contractului dacă dovedește că lipsa de conformitate este doar minoră.
8. În cazul în care Clientul, conform garanției legale, solicită o rambursare sau o reducere de preț, se vor aplica următoarele prevederi: după primirea Produselor de către GUESS la următoarea adresă: GUESS DC10 – ul. Rabowicka 51A, 62-020 Jasin, Polonia și după ce GUESS a verificat existența oricăror defecte, GUESS va trimite un e-mail Clientului care confirmă primirea produselor defecte, va da instrucțiuni pentru rambursare băncii sau furnizorului de servicii de plată terț (cum ar fi PayPal sau Klarna) solicitând rambursarea prețului (total sau parțial) și a tuturor costurilor de livrare (inclusiv costurile de livrare pentru returnarea produsului) în termen de maximum 14 zile de la primirea returnării. Timpul real necesar pentru acreditivele sumei Clientului depinde de banca Clientului sau de furnizorii de servicii de plată terți (cum ar fi PayPal sau Klarna) și este în afara controlului GUESS.

Reclamații

1. Pentru a depune o reclamație (pentru un produs defect sau pentru orice alt caz), Clientul poate:
   1. Depune o reclamație online. Pentru a activa această opțiune, Clientul trebuie să contacteze Serviciul Clienți la https://www.rag-bone.eu/-/need-help. Serviciul Clienți poate solicita o fotografie a produselor și a defectului presupus. Serviciul Clienți își rezervă dreptul de a pune la dispoziția Clientului o etichetă de curier care va permite trimiterea produselor la GUESS de către curier pe cheltuiala acesteia din urmă. GUESS recomandă utilizarea formularului online de reclamație, care asigură feedback imediat pentru Client.
   2. Ca alternativă la procesul descris în paragraful anterior, Clientul poate utiliza următorul formular:

2. GUESS va răspunde la reclamația Clientului imediat, cel târziu în termen de 14 zile calendaristice de la primirea acesteia. Lipsa unui răspuns din partea GUESS în termenul menționat mai sus implică acceptarea automată a reclamației Clientului. GUESS va informa Clientul imediat cu privire la orice neadecvare a reclamației și/sau la necesitatea de a o completa cu informații și date lipsă.
3. În orice caz, rămâne posibilitatea ca Clientul să activeze metode extrajudiciare de soluționare a reclamațiilor conform procedurii de soluționare a litigiilor online pregătite de Comisia Europeană. Platforma relevantă este disponibilă la următorul link: https://ec.europa.eu/consumers/odr.

Licență

1. Prin aceste CGV, GUESS acordă Clientului un drept neexclusiv, netransferabil, nesublicențiat și limitat de a utiliza Magazinul Online în conformitate cu metodele expres permise de Magazinul Online și reglementate de aceste CGV. Clientul trebuie să respecte orice limitări existente în Magazinul Online fără a-l modifica în niciun fel. În special, cu excepția cazului în care prevederile legale obligatorii prevăd altfel, Clientul se va abține de la următoarele activități ca exemplu: ocolirea limitărilor tehnice ale Magazinului Online; decodificarea, decompilarea sau dezmembrarea Magazinului Online; etc.
2. Se înțelege expres că GUESS își rezervă toate drepturile care nu sunt în mod expres licențiate în conformitate cu aceste CGV.
3. În afara cazului în care este expres permis de aceste CGV, Clientul nu poate: (i) utiliza Magazinul Online pentru a furniza orice serviciu comercial; (ii) utiliza Magazinul Online pentru a dezvolta un produs care concurează cu Magazinul Online sau cu GUESS; (iii) utiliza instrumente de acces automatizat, cum ar fi păianjeni sau roboți, sau se implică în activități de scraping în legătură cu Magazinul Online, sau colectează informații și date din Magazinul Online; (iv) permite terților să acceseze sau să utilizeze Magazinul Online, cu excepția cazului în care aceste CGV prevăd altfel; (v) distribui sau publica datele lor de conectare la Magazinul Online; sau (vi) utiliza date de conectare neautorizate sau ale terților.

Conținutul site-ului și utilizarea - Proprietate intelectuală

1. Magazinul Online și conținutul său sunt proprietatea GUESS și a licențiatorilor săi.
2. Magazinul Online și conținutul său sunt protejate de legile naționale și internaționale privind dreptul de autor, mărcile înregistrate, desenele și modelele, protecția software-ului, bazele de date, numele de domeniu sau orice alte legi privind proprietatea intelectuală și industrială.
3. Clientul nu poate reproduce, cu excepția scopurilor legate de utilizarea personală și în limitele stabilite de legile aplicabile, publica, comunica publicului prin orice mijloace de comunicare, transmite, execută, afișează, distribuie, îndepărtează, șterge, adaugă sau altfel modifica Magazinul Online sau conținutul său, nici nu poate crea opere inspirate sau derivate din acestea, comercializa Magazinul Online și/sau conținutul său, sau participa activ la comercializarea acestuia, cu excepția cazului în care este expres și în prealabil autorizat de GUESS.
4. Este expres interzis să dăuneze, să interfereze sau să perturbe accesul la Magazinul Online și conținutul său, sau să efectueze acțiuni care pot modifica funcționalitatea sa sau să interfereze cu accesul altor utilizatori la Magazinul Online sau conținutul său, nici să utilizeze Magazinul Online sau conținutul său în moduri ilegale sau într-un mod dăunător pentru GUESS și pentru orice terță parte, inclusiv orice alt utilizator al Magazinului Online.
5. Paginile web care alcătuiesc Magazinul Online pot permite accesul, prin hipertexte dedicate (adică linkuri) la site-uri web ale terților sau resurse disponibile pe Internet. GUESS nu va fi responsabilă pentru accesibilitatea reală a site-urilor web ale terților conectate prin astfel de hipertexte, nici pentru orice daune care pot apărea Clientului și/sau utilizatorilor în legătură cu conținutul, materialele sau Produsele oferite sau obținute de Client prin aceste site-uri web.

Excluderea garanției și limitarea răspunderii

1. Prin utilizarea Magazinului Online, Clientul recunoaște și este de acord că Magazinul Online este furnizat „așa cum este” și „așa cum este disponibil” la momentul utilizării.
2. GUESS, în cea mai mare măsură permisă de legea aplicabilă și fără a aduce atingere prevederilor acestei secțiuni, nu oferă nicio garanție, expresă și/sau implicită, în legătură cu Magazinul Online, cum ar fi, doar ca exemplu, orice garanție de nevătămare de software dăunător (adică malware și/sau viruși de orice fel și doar ca exemplu viruși de fișiere, viruși de boot, viruși macro și viruși de rețea) sau orice garanție de comercializare sau potrivire pentru scopuri particulare.
3. GUESS nu poate fi trasă la răspundere în niciun fel pentru orice daună rezultată din utilizarea Magazinului Online și din achiziționarea și/sau utilizarea Produselor, cu excepția cazului în care legea aplicabilă prevede altfel.
4. Orice conținut descărcat, creat sau altfel achiziționat din sau prin Magazinul Online este obținut la propria și exclusivă discreție și risc al Clientului. Clientul este, prin urmare, singur responsabil pentru orice daună la dispozitivele dumneavoastră sau pierdere de date rezultată din utilizarea Magazinului Online. În cea mai mare măsură permisă de legea aplicabilă, prin utilizarea Magazinului Online, Clientul se angajează să suporte toate riscurile legate de această utilizare și să își asume întreaga responsabilitate pentru orice pierdere de utilizare, pierdere de date și costuri legate de orice întreținere și/sau reparație a hardware-ului și/sau software-ului utilizat în legătură cu Magazinul Online, angajându-se, de asemenea, să nu tragă GUESS la răspundere în niciun fel pentru orice daună rezultată din sau cauzată de utilizarea acestui Magazin Online sau legată de acesta.
5. Indiferent de orice altă prevedere din aceste CGV, garanțiile și răspunderea GUESS nu sunt excluse sau limitate: (i) în cazul decesului sau daunelor cauzate Clientului rezultate din acțiunea sau omisiunea GUESS; (ii) în cazul neglijenței sau comportamentului intenționat necorespunzător al GUESS; (iii) pentru orice altă răspundere sau garanție care nu poate fi limitată sau exclusă prin lege.

Indemnizație

În cea mai mare măsură permisă de legea aplicabilă, clientul se angajează să indemneze și să mențină GUESS, afiliații săi, administratorii, directorii, ofițerii și cedanții nevătămați de orice și toată răspunderea rezultată din pierderi materiale sau nemateriale suferite de orice terță parte în orice fel (i) rezultate din utilizarea neglijentă a Magazinului Online și a Produselor, sau altfel în încălcarea oricărui articol din aceste CGV, sau (ii) rezultate din încălcarea oricărei legi aplicabile sau a oricărui drept al unei terțe părți.

Dispoziții finale

1. În cazul în care o prevedere a acestor CGV este considerată nevalidă sau ineficace, acest lucru nu va face ca aceste CGV să fie nevalide în ansamblu. Orice prevedere nevalidă va fi înlocuită cu o altă prevedere validă, având în vedere voința părților și sensul și conținutul permis de legea aplicabilă.
2. Aceste CGV constituie întregul acord între Client și GUESS și înlocuiesc orice condiții, acorduri sau declarații anterioare sau concomitente, orale sau scrise, referitoare la obiectul acestor CGV.
3. Nici Clientul, nici GUESS nu vor fi considerați în culpă în temeiul acestor CGV din cauza oricărui întârziere sau eșec în îndeplinirea obligațiilor lor rezultată din orice eveniment dincolo de controlul rezonabil al Clientului sau GUESS (așa-numita „Forță Majoră”), cu condiția ca partea interesată să notifice cealaltă parte în mod rezonabil și în timp util condiția de Forță Majoră și să facă eforturi rezonabile pentru a atenua întârzierea sau eșecul.
4. Guess acordă o atenție deosebită și acordă maximă atenție protecției datelor personale ale Clientului. GUESS prelucrează datele personale ale Clientului în conformitate cu prevederile legii aplicabile și în conformitate cu politica sa de confidențialitate accesibilă la linkul „Confidențialitate” care poate fi găsit în Magazinul Online și care formează parte integrantă și esențială a acestor CGV.
5. Aceste CGV sunt supuse legii română. Orice litigii care decurg din acestea vor fi supuse jurisdicției instanței competente în funcție de locul de reședință al Clientului.
