Conclusion of contract

Once the Customer places an order in the Online Shop, the Customer will send a contractual proposal of purchase to GUESS, which does not constitute the termination of the contract. GUESS will send a confirmation of receipt of the order to the Customer by e-mail. Such e-mail does not constitute an acceptance of the proposal, but only confirmation of receipt of the order, after which GUESS may confirm the availability of the Product(s) and, if applicable, verify the payment method indicated.

The contract for the sale and purchase of the Product(s) shall be deemed concluded when the Customer receives the e-mail of successful dispatch of the order, provided that the payment is successful, containing these GCS and information about the Product(s) ordered, including the price paid. If, for any reason, payment of the price is not successful, the order will not be processed and will be cancelled, and the contract will not be concluded.

To make any changes to an order, the Customer must contact Customer Service. GUESS reserves the right to accept, wholly or in part, the changes to the order requested by the Customer, provided that such changes are requested before the ordered products are shipped. Completion of the order form implies the acceptance of the offered price and the general terms and conditions of sale in force at the time. Once the order has been formalised, the purchase is understood to be fully concluded, with all legal guarantees for the protection of the purchasing consumer and, from that moment, the prices and conditions assume a contractual nature and cannot be modified without the express consent of both contracting parties. The language used for the formalisation of the contract shall be English.

Product prices

1. The prices of our products are expressed in Euros (EUR).
2. The prices shown in the Online Store include the VAT (Value Added Tax) in force at the time of the order.
3. The prices shown in the Online Store do not include the shipping costs, which shall be paid by the Customer. Shipping costs will be added to the final total price at the time of placing the relevant Order, according to the applicable shipping rates indicated in the Online Store. Additional shipping costs may apply. Any additional shipping costs, where applicable, will be duly indicated at the checkout stage and reported in the FAQ section
4. Payment by Customer may be made using any payment option available in the Online Store:
   1. Credit Card
   2. PayPal
   3. Klarna
   4. Apple Pay
   5. Google Pay

   In the event that the Customer makes use of payment services offered by third party operators (for example Klarna or Paypal), the Customer is required to read the terms and conditions governing such services.

5. Payment by credit card may be subject to the application of fees by the Customer's bank or the company that issued the credit card and the Customer may have more information about these fees by contacting their bank and the company issuing their credit card. GUESS remains totally unrelated to purchase transaction fees, which depend on the specific conditions applied, to its customers and users, by the providers of banking and payment services.

Right of withdrawal from a distance contract

1. The Customer, without having to provide any reason, may withdraw from the distance contract stipulated with GUESS and return the products purchased through the Online Store within 30 calendar days from the day of receipt of the products ordered or, in the case of products subject to the same order that have been received separately, from the day of receipt of the last product. In order to comply with the deadline for exercising the withdrawal, it is sufficient for the Customer to send Guess a relevant explicit written notice of their intention to withdraw from the contract within the 30-day period indicated above.
2. To exercise the right of withdrawal, Guess recommends activating the electronic procedure available in the MY ACCOUNT or RETURNS sections of the Online Store.

   Should the Costumer prefer not to make use of the aforementioned procedure, the notice of withdrawal from the contract may also be submitted using the following form, which, by way of illustration, outlines the information and data that must be provided to Guess in order to withdraw.

3. GUESS will promptly send the Customer an acknowledgment of receipt of the notice of withdrawal on a durable medium (for example, by email).
4. In case of withdrawal from the contract, GUESS shall reimburse the Customer for all payments received in connection with the order, including delivery costs, if incurred. Additional costs incurred by the Customer who has expressly chosen a delivery method other than the least expensive type offered by GUESS shall not be reimbursed.
5. Without prejudice to the paragraph 6 below, the reimbursement to the Customer shall be made by GUESS without delay, and, in any case, no later than 14 days from the day on which GUESS was informed of the Customer’s decision to withdraw. The timeframe for the actual crediting of the amount due to the Customer depends on the Customer’s credit institution or on third-party payment service providers (such as PayPal or Klarna) and is in no way managed or controlled by GUESS. GUESS shall reimburse the payment only to the Costumer who placed the order, using the same payment method chosen by the Customer at the time of the conclusion of the contract, unless the Customer has expressly agreed otherwise. In any case, the Customer shall not bear any costs in obtaining the reimbursement.
6. GUESS reserves the right to withhold the amount to be reimbursed until it receives the goods at the address indicated in paragraph 7 below, or until the Customer provides proof of shipment of the goods, whichever occurs first.
7. The products to be returned must be shipped to the following address GUESS DC10 – ul. Rabowicka 51A, 62-020 Jasin, Poland in a single shipment and within fourteen [14] calendar days from the day on which the Customer notified GUESS of their intention to withdraw from the contract. The products may be shipped using the return label automatically generated after completing the return registration procedure as described on the Online Store(or the return label otherwise provided by GUESS to the Customer together with the ordered products). The Customer may choose any method for returning the products and shall bear the related shipping costs. Customers who make use of GUESS’s return procedure are entitled to one (1) free return shipment per month. GUESS strongly recommends including the order number and order date in the return package, to allow GUESS to identify the shipment and proceed with the return process. The right of withdrawal does not apply to sealed products that are not suitable for return due to health protection or hygiene reasons and that have been opened after delivery: in such case, GUESS reserves the right to refuse the return, with the consequences set out in paragraph 9 below.
8. The Customer shall be liable for any reduction in the value of the product resulting from use beyond what is necessary to establish the nature, characteristics, and functioning of the product. This means that, following the Customer’s withdrawal from the contract, GUESS may seek compensation from the Customer for any damage caused by the return of products that are not intact or have been altered (e.g., damaged, washed, incomplete). All returned items must be unused and in their original condition, with all tags and labels intact.
9. Should GUESS refuse the return due to the ineligibility of the request (for example, if the time limit for the Customer to make the return has expired) or of the Product (for example, in the case of products that cannot be returned pursuant to paragraph 7 above), GUESS shall return the products to the Customer — unless the Customer explicitly communicates otherwise — at the Customer’s expense, and no reimbursement shall be issued.

Legal Warranty of Conformity

1. In the event of delivery of defective products by GUESS, according to the legal warranty, the Customer shall be entitled to the following remedies:
   1. price reduction;
   2. reimbursement of the price (termination of the contract);
   3. replacement of the defective products;
   4. repair of the products.
2. The warranty is valid for 3 (three) years starting from the date the products are delivered to the Customer. The action aimed at asserting defects not fraudulently concealed by GUESS must, in any case, be brought within thirty-eight months from the date of delivery of the Product. The Customer must report the defect to Guess within 2 months from the date the defect is discovered.
3. Unless proven otherwise, any lack of conformity that arises within one year from the delivery of the Product is presumed to have already existed at the time of delivery, unless this assumption is incompatible with the nature of the Product or the nature of the lack of conformity. After one year from the delivery of the Product, it will be the Customer’s responsibility to prove that the lack of conformity already existed at the time of delivery.
4. In order to benefit from the legal warranty, the Customer must provide proof of the purchase and date of delivery of the goods. Therefore, for this purpose, it is advisable that the Customer retains the purchase invoice, as well as the transport document or any other document that can certify the purchase and the date of delivery.
5. Notwithstanding the above, any faults or malfunctions caused by external and accidental events or by the Customer’s responsibility or by use of the Product that does not comply with its intended use and/or with the provisions of the documentation accompanying the Product are excluded from the scope of the legal warranty.
6. In the event of a lack of conformity covered by the legal warranty, the Customer is entitled to:
   1. (i) primarily, have the product repaired or replaced free of charge, at their choice, unless the requested remedy is objectively impossible or excessively onerous compared to the alternative;
   2. (ii) secondarily, a proportional price reduction or termination of the contract (with reimbursement by GUESS of the amount paid by the Customer for the purchase of the Product), at their choice, in the event that:
      • • GUESS has not carried out the repair or replacement, or has refused to do so because it is impossible or excessively onerous;
      • • a lack of conformity appears despite GUESS’s attempt to restore the conformity of the product;
      • • the lack of conformity is so serious as to justify the immediate price reduction or the termination of the sales contract; or
      • • GUESS has declared, or it is clear from the circumstances, that it will not restore the conformity of the product within a reasonable period of time or without significant inconvenience to the Customer.
7. 7. Without prejudice to the other remedies, GUESS may oppose the termination of the contract if it proves that the lack of conformity is only minor.
8. 8. In the event that the Customer, according to the legal warranty, requests a refund or a price reduction, the following provisions shall apply: upon receipt of the Products by Guess at the following address: GUESS DC10 – ul. Rabowicka 51A, 62-020 Jasin, Poland, and after GUESS has verified the existence of any defects, GUESS will send an email to the Customer confirming the receipt of the defective products, will give instructions for the refund to the bank or third-party payment service provider (such as PayPal or Klarna) requesting the refund of the price (total or partial) and of all shipping costs (including shipping costs for the return of the product) within no more than 14 days after the receipt of the refund. The actual time required for the amount to be credited to the Customer depends on the Customer’s bank or third-party payment service providers (such as PayPal or Klarna) and is beyond GUESS’s control.

Complaints

1. In order to file a complaint (for a defective product or for any other case), the Customer may:
   1. File a complaint online. To activate this option, the Customer must contact Customer Service at https://www.rag-bone.eu/-/need-help. Customer Service may request a photo of the products and the alleged defect. Customer Service reserves the right to make available to the Customer a courier label that will allow products to be sent to GUESS by courier at the expense of the latter. GUESS recommends the use of the online complaint form, which ensures immediate feedback for the Customer.
   2. As an alternative to the process illustrated in the preceding paragraph, the Customer may use the following form:

2. GUESS will respond to the Customer's complaint immediately, no later than 14 calendar days from its receipt. Failure to respond by GUESS within the aforementioned period implies the automatic acceptance of the Customer's complaint. GUESS will inform the Customer without delay of any unsuitability of the complaint and/or of any need to supplement it with missing information and data.
3. In any case, the possibility remains for the Customer to activate extrajudicial methods of handling complaints according to the online dispute resolution procedure prepared by the European Commission. The relevant platform is available at the following link: https://ec.europa.eu/consumers/odr.

License

1. With these GCS, GUESS grants the Customer a non-exclusive, non-transferable, non-sublicensable, and limited right to use the Online Store in accordance with the methods expressly permitted by the Online Store and governed by these GCS. The Customer must comply with any limitations present on the Online Store without altering in any way the Online Store. In particular, except as provided by mandatory legal provisions, the Customer will refrain from the following activities by way of example: bypassing technical limitations of the Online Store; decoding, decompiling, or disassembling the Online Store; etc.
2. It is expressly understood that GUESS reserves all rights not specifically licensed in accordance with these GCS.
3. Except as expressly permitted by these GCS, the Customer may not: (i) use the Online Store to provide any commercial service; (ii) use the Online Store to develop a product that competes with the Online Store or with GUESS; (iii) use automated access tools such as spiders or robots, or engage in scraping activities in relation to the Online Store, or collect information and data from the Online Store; (iv) allow third parties to access or use the Online Store unless otherwise provided by these GCS; (v) distribute or publish their Online Store login credentials; or (vi) use unauthorized or third-party login credentials.

Website content and use - Intellectual Property

1. The Online Store and its contents are property of GUESS and its licensors.
2. The Online Store and its contents are protected by the national and international laws regarding copyright, registered trademarks, designs and models, software protection, databases, domain names, or any other intellectual and industrial property rights legislation.
3. The Customer may not reproduce, except for purposes related to personal use and within the limits established by applicable laws, publish, communicate to the public by any means of communication, transmit, perform, display, distribute, remove, delete, add to, or otherwise modify the Online Store or its content, nor create works inspired by or derived from them, commercialize the Online Store and/or its content, or actively participate in their commercialization, unless expressly and in advance authorized by GUESS.
4. It is expressively prohibited to damage, interfere with or disrupt access to the Online Store and its content, or to perform actions that may alter its functionality or interfere with other users’ access of to the Online Store or its content, nor utilize the Online Store or its content in illegal manners or in a way harmful to GUESS and to any third party, including any other user of the Online Store.
5. The web pages that make up the Online Store may allow access, via dedicated hyperlinks (namely, links) to third-party website or resources available on the Internet. GUESS shall not be held liable for the actual accessibility of third-party websites linked through such hyperlinks, nor for any damages that may arise to the Customer and/or users in connection with the contents, materials or Products offered or obtained by the Customer through the said websites.

Exclusion of warranty and limitation of liability

1. Through the utilization of the Online Shop, the Customer acknowledges and agrees that the Online Shop is furnished “as it is” and “as available” at the time of fruition.
2. GUESS, to the fullest extent permitted by applicable law and without prejudice to the provisions of this section, does not provide any warranty, express and/or implied, in relation to the Online Shop, such as, by way of example only, any warranty of harmlessness from harmful software (i.e. malware and/or viruses of any kind and by way of example only file viruses, boot viruses, macro viruses and network viruses) or any warranty of merchantability or fitness for particular purposes.
3. GUESS cannot be held liable in any way for any damage deriving from the use of the Online Shop and from the purchase and/or use of the Products, unless otherwise provided for by applicable law.
4. Any content downloaded, created or otherwise acquired from or through the Online Shop is obtained at the sole and exclusive discretion and risk of the Customer. The Customer is therefore solely and exclusively liable for any damage to your devices or loss of data resulting from the use of the Online Shop. To the fullest extent permitted by applicable law, by using the Online Shop, the Customer undertakes to bear all the risks connected to such use and to assume full responsibility for any loss of use, loss of data and costs connected to any servicing and/or repair of the hardware and/or software used in connection to the Online Shop, also undertaking not to hold GUESS liable in any way for any damage arising from or caused by the use of this Online Shop or related to it.
5. Notwithstanding any other provision in this GCS, the warranties and liability of GUESS are not excluded or limited: (i) in case of death or damage to the Customer resulting from the act or omission of GUESS; (ii) in case of negligence or wilful misconduct of GUESS; (iii) for any other liability or warranty that cannot be limited or excluded by law.

Indemnity

To the fullest extent permitted by applicable law, the customer undertakes to indemnify and hold GUESS, its affiliates, administrators, directors, officers and assigns harmless from any and all liability resulting from pecuniary or non-pecuniary loss suffered by any third party in any way (i) arising from the negligent use of the Online Shop and the Products, or otherwise in breach of any article of these GCS, or (ii) arising from the breach of any applicable law or any third party right.

Final dispositions

1. In the event that any provision of these GCS is found to be invalid or ineffective, this shall not render these GCS invalid in its entirety. Any invalid provisions shall be replaced by other valid provisions, taking into account the will of the parties and the meaning and content permitted by applicable law.
2. These GCS comprise the entire agreement between the Customer and GUESS and supersede any previous or contemporaneous conditions, agreements or statements, whether oral or written, relating to the subject matter of these GCS.
3. Neither the Customer nor GUESS shall be deemed to be in fault under these GCS due to any delay or failure to perform its obligations resulting from any event beyond the reasonable control of the Customer or GUESS (so-called ‘Force Majeure’), provided that the party concerned notifies the other party in a reasonably timely manner of the Force Majeure condition and makes reasonable efforts to mitigate the delay or failure.
4. Guess takes into particular consideration and pays maximum attention to the protection of the Customer’s personal data. GUESS processes the Customer’s personal data in compliance with the provisions of the applicable law and in accordance with its privacy policy accessible at the link ‘Privacy’ that can be found in the Online Shop and that forms an integral and substantial part of these GCS.
5. These GCS are subject to Spanish law. Any disputes arising therefrom shall be subject to the jurisdiction of the competent court based on the place of residence of the Customer.

Celebración del contrato

Una vez que el Cliente realiza un pedido en la Tienda Online, el Cliente envía una propuesta contractual de compra a GUESS, que no constituye la celebración del contrato. GUESS enviará al Cliente un acuse de recibo del pedido por correo electrónico. Dicho correo electrónico no constituye aceptación de la propuesta, sino únicamente confirmación de la recepción del pedido, tras lo cual GUESS podrá comprobar la disponibilidad del/de los Producto(s) y, en su caso, verificar la forma de pago indicada.

El contrato de compraventa del/de los Producto/s se considerará perfeccionado cuando el Cliente reciba el correo electrónico de envío satisfactorio del pedido, siempre que el pago se haya realizado correctamente, conteniendo las presentes CGV e información sobre el/los Producto/s solicitado/s, incluido el precio pagado. Si, por cualquier motivo, el pago del precio no se realiza correctamente, el pedido no se tramitará y se anulará, no celebrándose el contrato.

Para realizar cualquier cambio en un pedido, el Cliente deberá ponerse en contacto con el Servicio de Atención al Cliente. GUESS se reserva el derecho de aceptar, total o parcialmente, los cambios en el pedido solicitados por el Cliente, siempre que dichos cambios sean solicitados por el Cliente antes del envío de los productos pedidos. La cumplimentación del formulario de pedido implica la aceptación del precio ofertado y de las condiciones generales de venta vigentes en cada momento. Una vez formalizado el pedido, la compra se entiende plenamente perfeccionada, con todas las garantías legales de protección del consumidor comprador y, desde ese momento, los precios y condiciones asumen carácter contractual y no pueden ser modificados sin el consentimiento expreso de ambas partes contratantes. El idioma utilizado para la formalización del contrato será el español.

Precios de los productos

1. Los precios de los productos se expresan en moneda Euro (EUR).
2. Los precios indicados en la Tienda Online incluyen el Impuesto sobre el Valor Añadido (IVA) en la medida vigente en el momento del pedido.
3. Los precios de la Tienda Online no incluyen los gastos de envío, que corren a cargo del Cliente. Los gastos de envío se añadirán al precio total final en el momento de realizar el pedido, según las tarifas de envío aplicables indicadas en la Tienda Online. Pueden aplicarse gastos de envío adicionales. Los gastos de envío adicionales, si procede, se indicarán debidamente en la fase de pago y también se informará de ellos en la sección de preguntas frecuentes.
4. El Cliente puede realizar el pago utilizando cualquier método de pago disponible en la Tienda Online:
   1. Tarjeta de crédito
   2. PayPal
   3. Klarna
   4. Apple Pay
   5. Google Pay

   En caso de que el Cliente haga uso de servicios de pago ofrecidos por operadores ajenos (por ejemplo, Klarna o Paypal), el Cliente deberá consultar los términos y condiciones que rigen dichos servicios.

5. El pago con tarjetas de crédito puede estar sujeto a la aplicación de comisiones por parte del banco del Cliente o de la empresa emisora de la tarjeta de crédito, y el Cliente puede obtener más información sobre dichas comisiones poniéndose en contacto con su banco y con la empresa emisora de la tarjeta de crédito. GUESS permanece totalmente ajena a las comisiones relacionadas con las transacciones de compra, que dependen de las condiciones específicas aplicadas, a sus clientes y usuarios, por los proveedores de servicios bancarios y de pago.

Derecho de desistimiento de un contrato a distancia

1. El Cliente, sin necesidad de alegar motivo alguno, podrá desistir del contrato a distancia celebrado con GUESS y devolver los productos adquiridos a través de la Tienda Online en el plazo de 30 días naturales a contar desde el día de recepción de los productos solicitados o, en caso de que los productos de un mismo pedido se reciban por separado, desde el día de recepción del último producto. Para cumplir con el plazo de ejercicio del derecho de desistimiento, basta con que el Cliente envíe a Guess una notificación explícita de su intención de desistir del contrato dentro del citado plazo de 30 días.
2. Para ejercer el derecho de desistimiento, Guess recomienda seguir el procedimiento electrónico disponible en las secciones MI CUENTA o DEVOLUCIONES de la Tienda Online.

   Si el Cliente prefiere no utilizar dicho procedimiento, la declaración de desistimiento del contrato también podrá realizarse utilizando el siguiente formulario que, a modo de ejemplo, resume la información y los datos que deben comunicarse a Guess para ejercer el desistimiento:

3. GUESS enviará sin demora al Cliente un acuse de recibo de la notificación de desistimiento en un soporte duradero (por ejemplo, correo electrónico).
4. En caso de desistimiento del contrato, GUESS reembolsará al Cliente todos los pagos recibidos como consecuencia del pedido incluidos, en su caso, los gastos de entrega. No se reembolsarán los gastos adicionales en que incurra el Cliente que haya elegido expresamente un tipo de entrega distinto del tipo de entrega menos costoso ofrecido por GUESS.
5. Sin perjuicio de lo dispuesto en el apartado 6 siguiente, GUESS efectuará el reembolso al Cliente inmediatamente y, en cualquier caso, a más tardar 14 días a partir del día en que GUESS sea informada de la decisión del Cliente de desistir. El plazo para el abono efectivo del importe adeudado al Cliente depende de la entidad de crédito del Cliente o de un proveedor ajeno de servicios de pago (como PayPal o Klarna) y no depende de modo alguno de GUESS. GUESS solo reembolsará el pago al Cliente que formalizó el pedido, utilizando el mismo medio de pago elegido por el Cliente en el momento de la celebración del contrato, salvo que el Cliente haya acordado expresamente otra cosa. En cualquier caso, el Cliente no incurrirá en coste alguno por la obtención del reembolso.
6. GUESS se reserva el derecho a retener el importe a reembolsar hasta que reciba los productos en la dirección indicada en el apartado 7 infra, o hasta que el Cliente justifique que los productos han sido enviados, según qué condición se cumpla primero.
7. Los productos que se desee devolver deberán enviarse a la siguiente dirección GUESS DC10 - ul. Rabowicka 51A, 62-020 Jasin, Polonia, en un solo envío y en el plazo de catorce [14] días naturales a partir del día en que el Cliente haya informado a GUESS de su intención de rescindir el contrato. Los productos podrán enviarse utilizando la etiqueta de devolución generada automáticamente tras completar el procedimiento de registro de devoluciones descrito en la Tienda Online (o la etiqueta de devolución entregada de otro modo por GUESS al Cliente, junto con los productos solicitados). El Cliente podrá elegir cualquier método para devolver los productos y correrá con los gastos de envío correspondientes. A los Clientes que se acojan al proceso de devolución de productos establecido por GUESS se les ofrecerá un (1) envío de devolución gratuito al mes. GUESS recomienda encarecidamente incluir el número de pedido y su fecha en el sobre de devolución, con el fin de permitir a GUESS identificar el envío e iniciar el procedimiento de devolución. El derecho de desistimiento no está previsto para los productos en envases precintados que no sean aptos para ser devueltos por razones higiénicas o sanitarias y que hayan sido abiertos después de la entrega: en este caso, GUESS se reserva el derecho a rechazar la devolución, con las consecuencias descritas en el párrafo 9 infra.
8. El Cliente es responsable de cualquier reducción del valor del producto resultante de un uso que exceda lo estrictamente necesario para establecer la naturaleza, las características y el funcionamiento del producto. Lo anterior implica que GUESS, tras la rescisión del contrato por parte del Cliente, podrá reclamarle una indemnización por los daños y perjuicios causados por la devolución de productos no íntegros o alterados (por ejemplo, dañados, lavados, incompletos). Todos los artículos devueltos deben estar sin usar y en su estado original, con las etiquetas intactas.
9. En caso de que GUESS rechace la devolución debido a la inadecuación de la solicitud (por ejemplo, si ha vencido el plazo para que el Cliente realice la devolución) o del Producto (por ejemplo, en el caso de Productos que no puedan devolverse de conformidad con el párrafo 7 anterior), GUESS devolverá los Productos al Cliente, a menos que el Cliente indique expresamente lo contrario y a sus expensas, y no se efectuará ningún reembolso.

Garantía legal de conformidad

1. En caso de que GUESS entregue productos defectuosos, de conformidad con la garantía legal, el Cliente tendrá derecho a las siguientes opciones:
   1. reducción del precio
   2. reembolso del precio (rescisión del contrato)
   3. sustitución de los productos defectuosos
   4. reparación de los productos.
2. La garantía tiene una validez de 3 (tres) años a partir de la fecha de entrega de los productos al Cliente. La acción destinada a reclamar por defectos que GUESS no haya ocultado de forma maliciosa prescribirá en todo caso en el plazo de treinta y ocho meses a partir de la entrega del Producto. El Cliente deberá comunicar el defecto a GUESS en el plazo de 2 meses desde la fecha de descubrimiento del defecto.
3. Salvo prueba en contrario, se presumirá que los defectos de conformidad que se manifiesten en el plazo de un año desde la entrega del Producto ya existían en esa fecha, salvo que dicha presunción sea incompatible con la naturaleza del Producto o con la naturaleza del defecto de conformidad. Por el contrario, transcurrido un año desde la entrega del Producto, corresponderá al Cliente probar que el defecto de conformidad ya existía en el momento de la entrega del Producto.
4. Por lo tanto, para beneficiarse de la garantía legal, el Cliente deberá aportar el justificante de compra y la fecha de entrega de la mercancía. De esta manera, a efectos de dicho justificante, el Cliente deberá conservar la factura de compra, así como el documento de transporte o cualquier otro documento que pueda acreditar la compra y la fecha de entrega.
5. Sin perjuicio de lo anterior, se excluyen del ámbito de aplicación de la garantía legal los fallos o las averías ocasionados por causas externas y accidentales, por responsabilidad del Cliente o por una utilización del Producto no conforme con su uso previsto y/o con las disposiciones de la documentación adjunta al Producto.
6. En caso de defecto de conformidad cubierto por la garantía legal, el Cliente tendrá derecho:
   1. (i) a título principal, a la reparación o sustitución gratuita del bien, a su elección, salvo que la reparación solicitada sea objetivamente imposible o excesivamente onerosa en comparación con otra opción;
   2. (ii) con carácter subsidiario, a una reducción proporcional del precio o a la resolución del contrato (reembolsando GUESS el importe abonado por el Cliente por la compra del Producto), a su elección, en caso de que:
      • • GUESS no haya llevado a cabo la reparación o sustitución, o se haya negado a hacerlo por considerarlo imposible o excesivamente oneroso;
      • • GUESS no haya llevado a cabo la reparación o sustitución, o se haya negado a hacerlo por considerarlo imposible o excesivamente oneroso;
      • • la falta de conformidad es tan grave que justifica una reducción inmediata del precio o la resolución del contrato de venta; o
      • • GUESS ha declarado, o se desprende claramente de las circunstancias, que no restablecerá la conformidad de la mercancía en un plazo razonable o sin inconvenientes significativos para el Cliente.
7. Sin perjuicio de otros recursos, GUESS podrá oponerse a la resolución del contrato si demuestra que la falta de conformidad es de escasa importancia.
8. En caso de que el Cliente, en virtud de la garantía legal, solicite el reembolso o la reducción del precio, se aplicará lo siguiente: a la recepción por parte de GUESS de los Productos en la siguiente dirección GUESS DC10 - ul. Rabowicka 51A, 62-020 Jasin, Polonia, y tras la verificación por parte de GUESS de los posibles defectos, GUESS enviará un correo electrónico al Cliente confirmando que ha acusado recibo de la devolución de los productos defectuosos, y dará instrucciones al banco o al proveedor ajeno de servicios de pago (como PayPal o Klarna) para que reembolse el precio (total o parcialmente) y todos los gastos de envío (incluidos los gastos de envío para la devolución del producto) a más tardar 14 días después de la recepción del reembolso. El momento del abono efectivo del importe adeudado al Cliente depende de la entidad de crédito del Cliente o de proveedores ajenos de servicios de pago (como PayPal o Klarna) y no depende de modo alguno de GUESS.

Reclamaciones

1. Para presentar una reclamación (debido a un producto defectuoso o por cualquier otro motivo), el Cliente puede:
   1. Presentar una reclamación en línea. Para acogerse a esta opción, el Cliente debe ponerse en contacto con el Servicio de Atención al Cliente en https:// www.rag-bone.eu/-/ need-help. El Servicio de Atención al Cliente podrá solicitar una fotografía de los productos y del supuesto defecto. El Servicio de Atención al Cliente se reserva el derecho a proporcionar al Cliente una etiqueta que permita enviar los productos a GUESS por mensajería, corriendo los gastos a cargo de esta última. GUESS recomienda el uso del formulario de reclamación en línea, que garantiza una respuesta inmediata al Cliente.
   2. Como alternativa al proceso descrito en el párrafo anterior, el Cliente puede utilizar el siguiente formulario:

2. GUESS responderá a la reclamación del Cliente inmediatamente, a más tardar en el plazo de 14 días naturales a partir de su recepción. La falta de respuesta de GUESS en el plazo mencionado implica la aceptación automática de la reclamación del Cliente. GUESS informará sin demora al Cliente de la improcedencia de la reclamación y/o de la posible necesidad de completarla con información y datos que falten.
3. En cualquier caso, el Cliente tiene derecho a incoar procedimientos extrajudiciales de tramitación de reclamaciones con arreglo al procedimiento de resolución de litigios en línea establecido por la Comisión Europea. La plataforma correspondiente está disponible en el siguiente enlace: https://ec.europa.eu/consumers/odr.

Licencia

1. Por las presentes CGV, GUESS concede al Cliente un derecho no exclusivo, intransferible, no sublicenciable y limitado a utilizar la Tienda Online de conformidad con las condiciones de uso expresamente permitidas por la Tienda Online y que se rigen por las presentes CGV. El Cliente deberá cumplir cualquier restricción de la Tienda Online sin alterarla en modo alguno. En particular, salvo lo dispuesto por disposiciones legales imperativas, el Cliente se abstendrá, a título de ejemplo, de las siguientes actividades: eludir las limitaciones técnicas presentes en la Tienda Online; descodificar, descompilar o desensamblar la Tienda Online; etc.
2. Se entiende expresamente que GUESS se reserva todos los derechos que no estén expresamente autorizados en virtud de las presentes CGV.
3. Salvo en los casos permitidos de forma expresa por las presentes CGV, el Cliente no podrá (i) utilizar la Tienda Online para prestar cualquier servicio comercial; (ii) utilizar la Tienda Online para desarrollar un producto que compita con la Tienda Online o con GUESS; (iii) utilizar herramientas de acceso automático, como arañas o robots, o realizar actividades de scraping en relación con la Tienda Online o recopilar información y datos de la Tienda Online; (iv) permitir a terceros el acceso a la Tienda Online o el uso de la misma, salvo lo dispuesto en las presentes CGV; (v) distribuir o publicar sus credenciales de acceso a la Tienda Online; o (vi) utilizar credenciales de acceso no autorizadas o de terceros.

Contenido y uso del Sitio - Propiedad Intelectual

1. La Tienda Online y sus contenidos son propiedad de GUESS o de sus licenciantes.
2. La Tienda Online y los contenidos están protegidos por las leyes nacionales e internacionales sobre derechos de autor, marcas, diseños, protección de software, bases de datos y nombres de dominio o por cualquier otra legislación sobre derechos de propiedad intelectual e industrial.
3. El Cliente no podrá reproducir, salvo para fines relacionados con su uso personal y dentro de los límites establecidos por la legislación vigente aplicable, divulgar, transmitir al público por cualquier medio de comunicación, transmitir, ejecutar, representar, distribuir, exhibir, suprimir, borrar, añadir o de cualquier otra forma modificar la Tienda Online o los contenidos, así como crear obras inspiradas o derivadas de los mismos, comercializar la Tienda Online y/o los contenidos y/o participar activamente en su comercialización, salvo autorización previa y expresa de GUESS.
4. Queda expresamente prohibido dañar, interferir o interrumpir el acceso a la Tienda Online y a los contenidos, o realizar cualquier acción que pueda alterar la funcionalidad o interferir en el acceso de otros usuarios a la Tienda Online o a los contenidos, así como utilizar la Tienda Online o los contenidos de forma ilícita o perjudicial para GUESS, o para cualquier tercero, incluido cualquier otro usuario de la Tienda Online.
5. Las páginas web que integran la Tienda Online podrían facultar el acceso, a través de enlaces de hipertexto específicos, a sitios web o recursos de terceros en Internet. GUESS declina toda responsabilidad respecto a la accesibilidad efectiva de las páginas web de terceros vinculadas mediante enlaces, y por los daños que pudieran causarse al Cliente y/o a los usuarios en relación con los contenidos o con los materiales o Productos ofrecidos u obtenidos por el Cliente a través de dichas páginas.

Exclusión de garantía y limitación de responsabilidad

1. Al utilizar la Tienda Online, el Cliente reconoce y acepta expresamente que la Tienda Online se proporciona «tal cual» y «según disponibilidad» en el momento de su uso.
2. GUESS, en la máxima medida permitida por la legislación aplicable y sin perjuicio de lo dispuesto en la presente sección, no ofrece ninguna garantía, expresa y/o implícita, con respecto a la Tienda Online como, a título meramente enunciativo, ninguna garantía de inocuidad frente a malware y/o virus de cualquier tipo (es decir, virus de archivo, virus de arranque, macrovirus y virus de red), ni ninguna garantía de comerciabilidad o de adecuación para un fin determinado.
3. GUESS no se responsabiliza en modo alguno de los daños resultantes del uso de la Tienda Online y de la compra y/o uso de los Productos, salvo que la legislación aplicable disponga lo contrario.
4. Cualquier contenido descargado, creado o adquirido de cualquier otro modo de la Tienda Online o a través de ella se obtiene a discreción única y exclusiva del Cliente, por su cuenta y riesgo. Por lo tanto, el Cliente es el único y exclusivo responsable de cualquier daño que pudiera producirse en sus dispositivos o pérdida de datos como consecuencia del uso de la Tienda Online. Dentro de los límites máximos establecidos por la ley aplicable, al utilizar la Tienda Online, el Cliente se compromete a asumir todos los riesgos relacionados con dicho uso y a asumir la plena responsabilidad por cualquier fallo en el uso, la pérdida de datos y los costes relacionados con cualquier actividad de asistencia y/o reparación del hardware y/o software utilizados en relación con la Tienda Online, comprometiéndose asimismo a no considerar a GUESS responsable en modo alguno de los daños derivados o causados por el uso de la presente Tienda Online o relacionados con ella.
5. Independientemente de cualquier otra disposición de las presentes CGV, las garantías y la responsabilidad de GUESS no quedan excluidas ni limitadas: (i) en caso de muerte o daños al Cliente derivados de un acto u omisión de GUESS; (ii) en caso de negligencia o dolo por parte de GUESS; (iii) por cualquier otra responsabilidad o garantía que, por ley, no pueda limitarse o excluirse.

Indemnización

En la medida máxima permitida por la legislación aplicable, el Cliente acepta indemnizar y eximir a GUESS, sus filiales, directores, directivos y cesionarios de toda responsabilidad derivada de pérdidas pecuniarias o no pecuniarias sufridas por ellos o por terceros de cualquier forma (i) derivada del uso negligente de la Tienda Online y de los Productos, o de cualquier otra forma en violación de cualquier artículo de las presentes CGV, o (ii) derivada de la violación de cualquier ley aplicable o de cualquier derecho de terceros.

Disposiciones finales

1. En caso de que cualquier disposición de estas CGV se considere no válida o inaplicable, esto no invalidará estas CGV en su totalidad. Las disposiciones no válidas serán sustituidas por otras válidas, teniendo en cuenta la voluntad de las partes y el sentido y contenido que permita la legislación aplicable.
2. Las presentes CGV constituyen el acuerdo íntegro entre el Cliente y GUESS y sustituyen a todas las condiciones, acuerdos o manifestaciones anteriores o contemporáneos, ya sean orales o escritos, relativos al objeto de las presentes CGV.
3. Ni el Cliente ni GUESS se considerarán en situación de incumplimiento de las presentes CGV, debido a cualquier retraso o incumplimiento de su obligación, resultante de cualquier acontecimiento ajeno al control razonable del Cliente o de GUESS (lo que se conoce como «Fuerza Mayor»), siempre que la parte afectada notifique a la contraparte de manera razonablemente oportuna la condición de Fuerza Mayor y se esfuerce razonablemente por mitigar el retraso o el incumplimiento.
4. GUESS tiene en especial consideración y presta la máxima atención a la protección de los datos personales del Cliente. GUESS trata los datos personales del Cliente de conformidad con las disposiciones de la legislación aplicable y de acuerdo con su política de privacidad accesible en el enlace «Privacidad» que puede encontrarse en la Tienda Online y que forma parte integrante y sustancial de las presentes CGV.
5. Las presentes CGV están sujetas a la legislación española. Cualquier litigio derivado de las mismas se someterá a la jurisdicción del tribunal competente según el lugar de residencia del Cliente.
